Terms of Service.

These Terms of Service ("Terms") govern your use of this website and the services provided by AI Agents Corp (the "Services"), operated by Ai Agents Labs LLC, 8334 Clairemont Mesa Blvd, Unit 101 #1086, San Diego, CA 92111 ("we," "us"). By using this website or purchasing Services, you agree to these Terms.

1. The Services. AI Agents Corp is a digital agency. Our Services include website and funnel design and development, paid advertising campaign management, social media consulting, branding and identity work, and related digital services. The specific Services you purchase are defined in a written proposal or agreement (your "Proposal"), which is part of these Terms for that engagement.

2. Billing. Pricing is set per engagement and stated in your Proposal before work begins. Project work is typically billed as a fixed fee (in full or in agreed milestones); ongoing services such as ad management or consulting are billed as a recurring monthly fee that renews automatically until cancelled. By purchasing, you authorize us (and our payment processor) to charge your payment method as described in your Proposal.

3. Cancellation and refunds. Ongoing monthly services may be cancelled at any time; cancellation stops future billing and takes effect at the end of the current billing period. Cancellation and refund terms for project work are set out in your Proposal and in our Refund & Cancellation Policy, which is part of these Terms.

4. No performance guarantees. Marketing outcomes depend on many factors outside any agency's control — your offer, your market, platform changes, and seasonality among them. We commit to delivering the work described in your Proposal with professional skill; we do not guarantee specific traffic, leads, sales, or revenue results.

5. Your responsibilities. You agree to provide timely access, materials, and approvals we reasonably need to deliver the Services (for example: brand assets, account access, and feedback on drafts), and to ensure that materials you supply do not infringe anyone else's rights. Delays in providing these may extend timelines in your Proposal.

6. Intellectual property. Upon full payment, ownership of the final deliverables created for you under your Proposal (your website, brand files, ad creative, and content) transfers to you. We retain ownership of our pre-existing tools, frameworks, templates, and know-how, and grant you a license to use them as embedded in your deliverables. We may reference completed work in our portfolio unless your Proposal says otherwise.

7. Third-party platforms. The Services often involve third-party platforms (for example: hosting providers, Meta and Google advertising, and social networks). Those platforms have their own terms, policies, and fees — ad spend is paid by you to the platform and is separate from our fees unless your Proposal says otherwise.

8. Disclaimer and limitation of liability. Except as stated in your Proposal, the Services are provided "as is." To the maximum extent permitted by law, Ai Agents Labs LLC is not liable for indirect, incidental, or consequential damages, and our total liability for any claim is limited to the amounts you paid us in the twelve months before the claim arose.

9. Governing law. These Terms are governed by the laws of the State of California. Any disputes will be resolved in the state or federal courts located in San Diego County, California.

10. Changes. We may update these Terms from time to time. Material changes will be posted on this page with an updated effective date. Continued use of the Services after changes take effect constitutes acceptance.
